Terms and Conditions of Toda Freelancers Platform

Welcome to Toda Freelancers, a premier freelance marketplace platform built with the MoonLancer system, designed to connect freelancers, job seekers, students, hiring companies, and clients for seamless collaboration. These Terms and Conditions govern your access to and use of our website, mobile applications, services, tools, and features (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and Conditions.

1. Acceptance of Terms

By registering for an account, browsing, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions, as well as any other policies referenced herein, including but not limited to:

  • Privacy Policy
  • Code of Conduct
  • Refund Policy
  • Milestone Dispute Resolution Policy

If you do not agree with any part of these terms, you must not use the Platform.

2. Eligibility

You may only use the Platform if:

  • You are at least 16 years old.
  • You are able to form legally binding contracts under applicable law.
  • You are not barred from receiving services under the laws of your jurisdiction.
  • If you are a student or graduate applying for specific badges such as “Toda Student” or “Job Seeker,” you must provide valid documentation confirming your status as a current university student or unemployed individual seeking work.


3. User Accounts

All users must register for an account to access certain features of the Platform. You agree to:

  • Provide accurate, complete, and up-to-date information during registration.
  • Keep your login credentials secure and confidential.
  • Notify us immediately of any unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.


4. Subscription Plans and Badges


TodaFreelancers offers four badge levels to enhance visibility, credibility, and opportunities on the Platform:

4.1 Premium Badge ($9.99*/month)

  • Bypasses rating filters and appears in top search results.
  • Access to premium support and exclusive project alerts.
  • Featured profile visibility across the Platform.

4.2 Classic Badge ($4.99*/month)

  • Enhanced profile visibility within standard search rankings.
  • Eligible for featured project listings and priority review.

4.3 Job Seeker Badge ($3*/month)

  • Designed for graduates or unemployed individuals actively seeking employment.
  • Ability to upload and showcase CVs/resumes.
  • Hiring companies can directly contact users based on their profiles.

4.4 Toda Student Badge ($3*/month)

  • Exclusive to university students seeking internships or attachments.
  • Upload academic documents and internship preferences.
  • Direct outreach from companies offering relevant opportunities.
  • All subscriptions are recurring and billed monthly unless cancelled.

5. Platform Services and Features

The following core features are available to users:

5.1 Fixed Price Hiring

Clients can post projects with a set budget. Freelancers apply with fixed bids. Toda Freelancers collects a 2% commission on all transactions. This model promotes transparency and clarity in project expectations.


5.2 Custom Order

Users can negotiate and propose custom service packages tailored to specific client needs before formalizing a hire. A 2% platform commission applies to finalized orders.


5.3 Milestone-Based Payment System

Clients can break down large projects into milestones. Funds are released upon completion and approval of each milestone, ensuring accountability and motivation. Each payment incurs a 2% platform commission.


5.4 Live Chat & Notifications

Real-time communication between clients and freelancers is facilitated through integrated live chat and push notifications.


5.5 Support Ticket System

Users can submit queries, feedback, or issues via a dedicated support ticket system, which will be reviewed and resolved by admin staff promptly.


5.6 Wallet & Withdrawal System

Freelancers can manage earnings through a secure wallet system and request withdrawals after admin approval. Admins can customize payout methods.


5.7 Refund Module

A structured refund process allows for dispute resolution related to payments or deliverables, governed by our Refund Policy.


5.8 Report Feature

Users can report misconduct, disputes, or inappropriate content to admins for review and action.

5.9 Referral Program


A. Invitation Flow

  • One-click referral link for all registered users.
  • Tracks invitee signups (Freelancer/Client).

B. Rewards Logic

  • Default: 10% of platform commission from invitee’s first 3 transactions (editable by Admin).
  • Rewards credited to inviter’s in-platform wallet.

C. User Dashboards

  • "My Referrals" tab (web/mobile) shows invites sent, signups, earnings, and payout status.

D. Admin Controls

  • Toggle module on/off.
  • Edit commission %, duration, payout threshold.
  • Manuals approve/deny payout requests.

E. Notifications

  • Email + in-app alerts for referral signups and reward credits.
  • Assumption: If a freelancer refers a client who hires a different freelancer, the referrer 5.10

5.10 Platform Commission

  • A earns commission on platform fees.
  • 2% commission applies to every transaction on the platform.
  • Deducted automatically before fund disbursement.

6. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, and software, is the property of Toda Freelancers or its licensors and protected by intellectual property laws.

Users retain ownership of their original work created through the Platform, unless otherwise agreed in writing. However, by uploading content, you grant Toda Freelancers a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content for marketing, promotional, and operational purposes.

7. Prohibited Activities

You agree not to engage in any of the following activities:

  • Posting false, misleading, or deceptive content.
  • Harassment, threats, or abuse of other users.
  • Manipulating ratings, reviews, or feedback systems.
  • Circumventing fees, payment structures, or subscription models.
  • Engaging in spamming, phishing, or other malicious behaviour.
  • Using automated bots or scripts to interact with the Platform without permission.
  • Violations may result in warnings, legal action, suspension, or permanent account termination.

8. Dispute Resolution

In the event of a dispute between users, we encourage direct resolution through communication or negotiation. If unresolved, users may utilize the Milestone Dispute Resolution Policy or submit a Support Ticket for administrative intervention.

Toda Freelancers reserves the right to mediate disputes, make determinations based on submitted evidence, and take appropriate actions, including freezing funds or suspending accounts. We are not a judicial body and make decisions as reasonable persons based on the information provided.

9. Indemnification

You agree to indemnify and hold harmless to Toda Freelancers, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Platform.
  • Violation of these Terms or applicable laws.
  • Disputes with other users or third parties.

10. Limitation of Liability

To the maximum extent permitted by law, Toda Freelancers shall not be liable for:

  • Any indirect, incidental, special, or consequential damages.
  • Loss of data, profits, or business opportunities.
  • Delays or interruptions caused by third-party services or technical failures.

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to the Platform in the last six months.

11. Termination

We reserve the right to suspend or terminate your account at any time for:

  • Breach of these Terms.
  • Fraudulent or illegal activity.
  • Inactivity exceeding 12 months.
  • Other reasons deemed necessary by Toda Freelancers.

Upon termination, your access to the Platform will cease, and your subscription will be canceled accordingly.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, or industry practices. Updated versions will be posted on the Platform with the effective date noted. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Jurisdiction – e.g., Zimbabwe. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Harare.
